  1. Website Information

We aim to ensure that the information on this website is accurate and kept reasonably up to date.

However, information published on the website is provided for general information purposes only and should not be regarded as advice specific to your individual circumstances.

We may update, amend or remove website content without notice.

  1. Consultancy Services

Where you engage Willow, the scope of work, objectives, deliverables, fees and timescales will be agreed with you before or at the beginning of the engagement.

Where a separate written agreement has been entered into with a client, that agreement will take precedence over these website Terms & Conditions in relation to the specific services covered by that agreement.

  1. Professional Advice

Willow provides professional consultancy and guidance based on the information and circumstances made available to us and the agreed scope of work.

Our consultancy is intended to support clients in making informed decisions and improving their services or practices.

Unless expressly agreed otherwise in writing, Willow does not assume responsibility for the overall management, operation or regulatory responsibilities of a client’s organisation.

Clients remain responsible for their own decisions, policies, procedures, staff, service users, regulatory obligations and implementation of recommendations.

Where appropriate, clients should obtain independent legal, financial, medical or other specialist advice.

  1. No Guarantee of Outcomes

We provide our services with reasonable care and skill and use our professional knowledge and experience to support the agreed objectives.

However, we cannot guarantee a particular clinical, regulatory, business, financial or operational outcome.

Outcomes may depend on circumstances and decisions outside our control.

  1. Client Responsibilities

Clients are responsible for providing accurate, complete and timely information reasonably required for Willow to provide the agreed services.

Clients should notify us of any relevant changes that may affect the work being undertaken.

The client remains responsible for deciding whether and how any recommendation made by Willow is implemented.

  1. Fees and Payment

Fees and payment arrangements will be agreed with the client before services commence.

Invoices should be paid within the payment period stated on the invoice.

If payment becomes overdue, Willow may suspend further work until outstanding amounts have been paid.

Additional work outside the agreed scope may incur additional fees. Where reasonably practicable, we will discuss this with the client before undertaking additional work.

  1. Cancellation and Termination

Cancellation and termination arrangements will normally be set out in the relevant service agreement or proposal.

Where no specific arrangements have been agreed, either party may request termination by giving reasonable written notice.

Work completed and reasonable expenses incurred before termination remain payable.

  1. Confidentiality

We understand that consultancy work may involve confidential personal, clinical, professional or business information.

Willow will handle confidential information appropriately and will not disclose it to third parties except where:

  • You have authorised us to do so;
  • Disclosure is necessary to provide the agreed service;
  • Disclosure is required by law or regulation;
  • Disclosure is necessary to protect someone’s vital interests or safety; or
  • Disclosure is otherwise permitted by law.

Additional confidentiality or non-disclosure arrangements may be agreed where appropriate.

  1. Data Protection

Willow takes the protection of personal information seriously.

Personal information will be handled in accordance with applicable UK data protection legislation and our Privacy Notice.

Where Willow processes personal information on behalf of a client, appropriate data-processing arrangements may be put in place where required.

  1. Intellectual Property

Unless otherwise agreed in writing, materials created by Willow, including reports, templates, frameworks, guidance, training materials and other original materials, remain the intellectual property of Willow.

Clients may use materials supplied to them for their own internal purposes in connection with the agreed service.

Materials must not be reproduced, resold, distributed or commercially exploited without our prior written permission unless otherwise agreed.

Client-owned materials remain the property of the client.

  1. Third-Party Websites

Our website may contain links to third-party websites or resources.

These are provided for information and convenience. Willow does not control and is not responsible for the content, availability or privacy practices of third-party websites.

  1. Limitation of Liability

Nothing in these Terms & Conditions excludes or limits liability where doing so would be unlawful.

Subject to this, Willow will not be liable for indirect or consequential loss, loss of profits, loss of business, loss of opportunity or other losses arising from the use of our website or services, except where such liability cannot lawfully be excluded.

Where a separate client agreement contains specific liability provisions, those provisions will apply to the relevant engagement.

  1. Website Availability

We do not guarantee that the website will always be available, uninterrupted or free from errors.

We may temporarily suspend, modify or discontinue any part of the website where reasonably necessary.

  1. Changes to These Terms

We may update these Terms & Conditions from time to time.

The most recent version will be published on this website together with the date it was last updated.

  1. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.

Any disputes arising in connection with these Terms & Conditions will be subject to the jurisdiction of the courts of England and Wales, unless applicable law provides otherwise.
